Resortee Terms of Service

Last updated: 9 September 2026. Effective: 9 September 2026.

These Terms of Service (the “Terms”) govern access to and use of the Resortee hospitality management platform (“Resortee”, the “Platform” or the “Service”) provided by Resortee Pvt Ltd, a company registered at Lot 10386, Ahigas magu K. Hulhumale, 23000, Maldives (“we”, “us”, or “Resortee”).

The Platform is business software licensed to hospitality operators. It is not a consumer service and is not intended for use by guests. If you are a guest of a property that uses Resortee, the terms that apply to your stay are published by that property, not by us.

By accessing the Platform, creating an account, or permitting any person to use the Platform under your account, you agree to these Terms. If you do not agree, do not use the Platform. If you accept these Terms on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” and “Customer” refer to that organisation.

1. Definitions

  • “Customer” means the hospitality operator, resort, hotel or group that subscribes to the Platform.

  • “Property” means an individual site, resort or hotel operated by the Customer and configured as a tenant on the Platform.

  • “Authorised User” means an individual the Customer permits to access the Platform, including employees, contractors and agents.

  • “Guest” means an individual who stays at, books with, or otherwise transacts with a Property.

  • “Customer Data” means all data, content and materials submitted to, or generated within, the Platform by or on behalf of the Customer, including Guest Personal Data.

  • “Guest Personal Data” means personal data relating to Guests that is processed through the Platform.

  • “Identity Document Data” means images of, and data extracted from, passports, national identity cards, driving licences, visas, work permits and comparable documents.

  • “AI Features” means the functionality described in section 9.

  • “Order” means the subscription or order form, quotation or written agreement that records the subscribed modules, fees and term.

  • “Subprocessor” means a third party engaged by us to process Customer Data.

2. The Service

Resortee is a multi-tenant, cloud-hosted platform for resort and hotel operations. Depending on the modules in your Order, it may include: guest arrivals, check-in and check-out; in-house guest management; identity document capture and verification; housekeeping and room status; minibar and inventory; guest requests and task routing; spa, slot, outlet and in-villa dining bookings; memberships and loyalty; dynamic forms and checklists; document templates and PDF generation; reporting and analytics; staff mobile applications; guest-facing applications; and integrations with property management systems.

We grant the Customer a non-exclusive, non-transferable, non-sublicensable right, during the term of the Order, to access and use the Platform for its internal business operations at the Properties identified in the Order, subject to these Terms.

The Platform is provided as a service. We may modify, improve and update it, provided we do not materially reduce the core functionality of a subscribed module during a paid term without notice under section 20.

3. Accounts, Access and Security

Access is granted per Authorised User. Accounts are personal to the individual and must not be shared. The Customer is responsible for:

  • maintaining the accuracy of user records and removing access promptly when a person leaves or changes role;

  • configuring roles, departments and permissions appropriately for each Authorised User;

  • the confidentiality of credentials and for all activity occurring under its accounts;

  • notifying us without undue delay of any suspected compromise of an account or credential.

The Platform enforces role-based access control and record-level tenant isolation. Those controls operate on the configuration the Customer supplies; we are not responsible for over-broad access that results from the Customer’s own permission configuration.

4. Customer Responsibilities

The Customer agrees to:

  • use the Platform in compliance with all applicable laws, including data protection, immigration, tax, payment and consumer protection laws;

  • establish and maintain a lawful basis for collecting and processing all Customer Data it enters or causes to be entered into the Platform;

  • provide Guests with all legally required notices about the processing of their personal data, and obtain any consent that applies;

  • ensure the accuracy of operational configuration, including rates, availability, pricing, tax settings, document templates and automated messaging;

  • maintain its own records as required by law, independently of the Platform.

5. Acceptable Use

The Customer must not, and must not permit any person to:

  • access the Platform to build a competing product, or copy its features, interfaces or data model for that purpose;

  • reverse engineer, decompile or disassemble the Platform, except to the extent that restriction is prohibited by law;

  • circumvent or attempt to circumvent tenant isolation, authentication, rate limits, usage ceilings or access controls;

  • upload malware, or use the Platform to transmit unlawful, infringing or harassing content;

  • use the Platform to process personal data of individuals who are not Guests, staff or business contacts of the Customer, without a lawful basis;

  • resell, sublicense or provide the Platform to a third party as a service, except as expressly permitted in the Order;

  • use automated means to extract data at a scale or rate that degrades the Platform for other customers.

We may suspend access under section 19 where use presents a security, legal or stability risk.

6. Data Protection Roles

The Customer is the data controller in respect of Guest Personal Data and Authorised User data. Resortee acts as data processor, processing that data only on the Customer’s documented instructions, which these Terms and the Order constitute.

We process Customer Data to: provide and maintain the Platform; deliver the modules the Customer has enabled; provide support at the Customer’s request; secure the Platform and investigate incidents; and comply with law.

Where required by applicable data protection law, a separate Data Processing Agreement governs the processing and forms part of these Terms. In the event of a conflict, the Data Processing Agreement prevails on matters of data protection.

We will assist the Customer, taking into account the nature of the processing, with data subject requests, data protection impact assessments and consultations with supervisory authorities, so far as the Customer cannot reasonably fulfil those obligations itself through the Platform’s own tooling.

7. Identity Document Data

The Platform can capture and read passports, identity cards, driving licences, visas and work permits, including machine-readable zone data and document images. This is sensitive data and, in some jurisdictions, is subject to heightened legal requirements.

The Customer is solely responsible for determining whether it may lawfully collect and retain Identity Document Data for a given Guest, for how long, and on what legal basis, and for providing the required notice. Registration or immigration obligations vary by jurisdiction and are the Customer’s to determine.

Identity Document Data is stored against the Property’s tenant and is not made available to other customers. Extraction may be performed by optical character recognition, by vision-capable AI models, or by a third-party document intelligence service, according to the pipeline the Customer configures. Section 9 applies to any AI-based extraction.

Extraction output is not verification. The Platform reads what is printed; it does not authenticate a document, detect forgery, or confirm that the holder is the person presenting it. Any identity verification decision remains the Customer’s.

8. Third-Party Services, Integrations and Subprocessors

The Platform integrates with third-party systems, including property management systems such as Oracle Opera, payment gateways, messaging providers and cloud infrastructure. Those systems are operated by third parties under their own terms. We are not responsible for their availability, accuracy or acts, and an interruption in a third-party system may interrupt dependent Platform functionality.

Where the Customer connects a third-party system, it authorises us to exchange the data necessary for that integration to function, and warrants that it holds the rights and credentials to do so.

We engage Subprocessors to deliver the Platform, including providers of cloud hosting and databases, background job processing, AI model inference, document rendering, error monitoring and email or messaging delivery. We maintain a current list of Subprocessors available on request, impose data protection obligations on each that are no less protective than those in these Terms, and remain responsible for their performance. We will give the Customer a reasonable opportunity to object to a new Subprocessor on reasonable data protection grounds.

9. Artificial Intelligence Features

The Platform includes AI Features, which may include an operational assistant that answers questions over the Customer’s own data, extraction of fields from identity and other documents, semantic search, summarisation, sentiment analysis, guest segmentation and suggested replies.

9.1 Accuracy

AI OUTPUT IS PROBABILISTIC AND MAY BE INCORRECT, INCOMPLETE, OUT OF DATE, OR FABRICATED. THIS IS A KNOWN CHARACTERISTIC OF THE UNDERLYING TECHNOLOGY AND NOT A DEFECT IN THE PLATFORM. AI OUTPUT IS PROVIDED FOR OPERATIONAL ASSISTANCE ONLY. IT IS NOT LEGAL, FINANCIAL, IMMIGRATION, MEDICAL OR COMPLIANCE ADVICE.

The Customer must not rely on AI Output as the sole basis for any decision that affects a Guest’s rights, a legal or regulatory determination, a financial figure, or an identity verification. A competent person must review AI Output before it is acted upon in those cases.

9.2 Training

We do not use Customer Data, Guest Personal Data or Identity Document Data to train, fine-tune or improve any general-purpose or foundation model, whether ours or a third party’s. Customer Data is submitted to model providers solely to generate output for the Customer, and we contract for zero-retention processing where a provider offers it. Aggregated, fully anonymised operational metrics that cannot identify the Customer, a Property or any individual may be used to improve the Platform.

9.3 Models, control and cost

AI Features are delivered through third-party model providers. We may change model providers or model versions to maintain quality, availability, security or cost. Output may vary between versions.

AI Features are subject to provider-level authorisation, per-tier model permissions, and usage and spend ceilings. We may disable AI Features, or an individual model, for a Customer where required for security, legal compliance, provider restrictions, non-payment, or to prevent abuse or runaway cost. Disabling AI Features does not affect the remainder of the Platform.

9.4 Ownership of output

As between the parties, the Customer owns AI Output generated from its Customer Data, subject to the terms of the underlying model provider. The Customer acknowledges that AI Output is not unique and that similar output may be generated for others.

10. Intellectual Property

The Platform, including its software, interfaces, data model, documentation and all improvements, is and remains our exclusive property and that of our licensors. These Terms grant a right to use the Service; they transfer no ownership.

The Customer retains all rights in Customer Data. The Customer grants us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display and process Customer Data solely to provide and support the Platform and as otherwise permitted by these Terms.

If the Customer provides feedback or suggestions, we may use them without restriction or obligation.

11. Confidentiality

Each party may receive confidential information of the other. The receiving party will protect it with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisers bound by comparable obligations. These obligations do not apply to information that is public through no fault of the receiving party, was lawfully known before disclosure, is independently developed, or is lawfully received from a third party. A party may disclose confidential information where legally compelled, giving reasonable prior notice where lawful.

12. Security

We maintain technical and organisational measures appropriate to the risk, including encryption of data in transit and at rest, tenant isolation enforced at the database layer, role-based access control, sealed storage of credentials and secrets, audit logging of significant actions, and access controls over our personnel.

We will notify the Customer without undue delay after becoming aware of a personal data breach affecting Customer Data, and provide the information reasonably required for the Customer to meet its own notification obligations.

No system is perfectly secure. The Customer is responsible for security within its own control, including device security, network security, credential hygiene and its permission configuration.

13. Service Availability and Support

We will use commercially reasonable efforts to make the Platform available 99.9% of the time each calendar month, excluding scheduled maintenance, emergency maintenance, and failures of third-party systems or the Customer’s own connectivity.

We aim to give advance notice of scheduled maintenance. Emergency maintenance may be performed without notice where required to protect security or stability.

Support is provided in accordance with the Order. Where no support terms are stated, we will respond to requests during normal business hours on a commercially reasonable efforts basis.

14. Fees and Payment

Fees, billing frequency, currency and the subscription term are set out in the Order. Unless the Order states otherwise, fees are invoiced in advance, are payable within 30 days of invoice date, and are non-refundable except as expressly provided.

Fees exclude taxes and duties, which the Customer is responsible for except for taxes on our income. We may charge for usage above the volumes stated in the Order, including AI usage above any included allowance.

We may suspend access for undisputed amounts that remain unpaid after written notice and a reasonable opportunity to cure. We may adjust fees on renewal with prior written notice.

15. Data Retention, Export and Deletion

We retain Customer Data for the duration of the subscription. The Customer may export its data through the Platform’s reporting and export functions during the term.

On termination or expiry, the Customer may request an export of Customer Data within 60 days. After that period we will delete or irreversibly anonymise Customer Data within a commercially reasonable time, except where retention is required by law, or where data is held in routine backups, which are deleted on their ordinary cycle.

The Customer is responsible for applying its own retention policy to Guest Personal Data and Identity Document Data within the Platform, including deleting records it is no longer entitled to keep.

16. Warranties and Disclaimers

We warrant that we will provide the Platform with reasonable skill and care and substantially in accordance with its documentation.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT OR EXTRACTED DOCUMENT DATA WILL BE ACCURATE.

The Customer is responsible for verifying operationally or financially significant output before relying on it.

17. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, business or anticipated savings, however arising, even if advised of the possibility.

Each party’s total aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by the Customer in the twelve months preceding the event giving rise to the claim.

These limitations do not apply to: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; a party’s indemnification obligations under section 18; the Customer’s payment obligations; a party’s breach of the other’s intellectual property rights; or any liability that cannot be limited or excluded by law.

18. Indemnification

We will defend the Customer against any third-party claim that the Platform, as provided by us and used in accordance with these Terms, infringes that third party’s intellectual property rights, and will pay damages finally awarded or agreed in settlement. If the Platform becomes, or we believe it may become, the subject of such a claim, we may procure the right to continue using it, modify it to be non-infringing, or terminate the affected subscription and refund prepaid unused fees.

The Customer will defend us against any third-party claim arising from: Customer Data or the Customer’s lack of a lawful basis to process it; the Customer’s failure to provide required notices to Guests; the Customer’s use of the Platform in breach of these Terms or applicable law; or the Customer’s reliance on AI Output or extracted document data contrary to sections 7 and 9.

The indemnified party must promptly notify the indemnifying party of the claim, give it sole control of the defence, and provide reasonable cooperation. No settlement imposing liability on the indemnified party may be made without its consent.

19. Term, Suspension and Termination

These Terms begin when the Customer first accesses the Platform and continue for the subscription term in the Order, renewing as stated there.

Either party may terminate for material breach that remains uncured thirty (30) days after written notice, or immediately if the other becomes insolvent or enters liquidation.

We may suspend access, in whole or in part and with as much notice as is reasonably practicable, where: use presents a security risk or degrades the Platform for others; suspension is required by law or by a Subprocessor; or undisputed fees remain unpaid after notice. We will restore access promptly once the cause is resolved.

On termination, the licence in section 2 ends, the Customer must cease using the Platform, and section 15 governs data. Sections 10, 11, 15, 16, 17, 18, 21 and 22 survive.

20. Changes to these Terms

We may update these Terms. For material changes that adversely affect the Customer, we will give at least thirty (30) days’ notice by email to the Customer’s administrative contact or by notice within the Platform. Continued use after the effective date constitutes acceptance. If the Customer objects to a material change, it may terminate the affected subscription before the change takes effect and receive a pro-rata refund of prepaid unused fees.

The current version is always published at this page, with the effective date shown above.

21. Governing Law and Disputes

These Terms are governed by the laws of The Republic of Maldives, without regard to conflict of law rules. The parties submit to the exclusive jurisdiction of the courts of The Republic of Maldives, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Before commencing proceedings, the parties will attempt in good faith to resolve any dispute by escalation to senior representatives for thirty (30) days.

22. General

  • Entire agreement. These Terms, the Order and any Data Processing Agreement form the entire agreement and supersede prior discussions. Where they conflict, the Order prevails, then the Data Processing Agreement on data protection matters, then these Terms.

  • Assignment. Neither party may assign these Terms without the other’s consent, except to a successor in connection with a merger or sale of substantially all assets.

  • Subcontracting. We may use subcontractors and Subprocessors, and remain responsible for their performance.

  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, excluding payment obligations.

  • Severability. If any provision is unenforceable, it is modified to the minimum extent necessary and the remainder continues in force.

  • No waiver. Failure to enforce a provision is not a waiver of it.

  • Notices. Notices to us must be sent to [email protected]. Notices to the Customer are sent to its administrative contact or shown within the Platform.

  • Independent contractors. The parties are independent contractors; these Terms create no partnership, agency or joint venture.

  • No third-party beneficiaries. These Terms confer no rights on Guests or other third parties.
